Key Responsibilities:

 

Support and assist in legal and transactional matters, including providing legal support and advice to the following functions.

 

  1. General Operational and Procurement

 

  • Drafting and Negotiation: Draft, negotiate, review, and advise on full spectrum of operational and procurement agreements, including Master Service Agreements (MSAs), Statement of Work (SOWs), Nondisclosure Agreements (NDAs), consulting agreements, intercompany and vendor/supplier agreements.

 

  • Standardization: Develop and maintain a library of standardized contract templates, ensuring they align with current regulatory requirements and company risk tolerances.

 

  • Risk Assessment: Identify, analyze, and communicate contractual risks to relevant business partners, proposing effective mitigation strategies that align with business objectives.
  1. Technology and Data Operations

 

  • Software Licensing: Negotiate and finalize agreements for the procurement of enterprise software, Software as a Service (SaaS), cloud computing services, and perpetual software licenses.

 

  • Data Security and Privacy: Ensure all IT contracts comply with relevant data privacy regulations, including HIPAA (for patient data) and GDPR/CCPA (for global and domestic customer/employee data), specifically addressing data use, retention, security protocols, and breach notification terms.

 

  • Hardware and Infrastructure: Manage contracts related to the purchase, lease, or maintenance of corporate hardware, networking infrastructure, and telecommunications services.

 

  • Technology Solutions: Research, develop and implement technology solutions for the legal department, including those utilizing agent and generative AI.

 

  1. R&D, Clinical Operations, Quality, and PV

 

  • R&D Purchases: Prepare contracts for the purchase of active pharmaceutical ingredients (APIs), specialized laboratory equipment, complex reagents, and clinical trial supplies.

 

  • CRO/Vendor Agreements: Draft agreements for services procured from third-party vendors supporting clinical trials, such as Contract Research Organizations (CROs), specialized testing labs, and data management services.

 

  • Quality and Pharmacovigilance Agreements: Draft pharmacovigilance and quality agreements with third-party partners to legally define, formalize, and ensure compliance with regulatory standards (like GVP and cGMP) for safety data exchange, adverse event reporting, and drug manufacturing processes.

 

  1. Corporate Functions (Finance, HR, Marketing & Facilities)

 

  • Finance: Manage contractual relationships with financial institutions, audit firms, and key purchasing vendors, ensuring clear indemnity and termination clauses.
  •  
  • Human Resources: Review vendor agreements for HR-related services, including payroll processing, benefits administration, and training platforms, paying close attention to employment law and data security aspects.

 

  • Facilities and Manufacturing Support: Negotiate agreements for building maintenance, security services, utility supply, and specialized equipment required for non-GMP (non-Good Manufacturing Practice) areas of the facilities.

 

 

  1. General Legal Support

 

Assist as needed with a broad range of legal matters that may include (but are not limited to): commercial sales and distribution contracts, providing legal support for advertising and promotional matters, pricing matters, legal department operational matters, real estate matters, regulatory issues, business development and contract manufacturing agreements, litigation support, compliance support, investigations, and insurance matters.

 

 

Qualifications:

We are looking for candidates whose experience and skills align closely with the qualifications outlined below:

 

  • A Juris Doctor Degree or equivalent and admission (or eligibility for admission) to the bar of Canada or at least one U.S. state in good standing (preferably Ohio, New York, and/or New Jersey).

 

  • 0-3 years’ experience with a top law firm or global pharmaceutical or other life sciences, biomedical, or medical supply company.
  • Strong academic credentials.

 

  • Ability to be an independent worker and work on projects (both domestic and international) with minimal supervision, balance multiple priorities, and work efficiently and closely with cross-functional groups in a multicultural fast-paced business environment.

 

  • Excellent oral and written communication skills, with strong attention to detail.

 

 

Preferred Qualifications:

 

  • Prior experience working in a jurisdiction in which Hikma Pharmaceuticals LLC’s affiliates operate
  • Eligible for admission to practice law in a jurisdiction outside the U.S. in which Hikma Pharmaceuticals LLC’s affiliates operate
  • Fluency in a second language used by Hikma Pharmaceuticals LLC’s international affiliates such as Arabic, German, Italian, and/or Portuguese is also preferred
